Website Terms of Use

1. About These Terms
These Website Terms of Use ("Terms") govern use of venaflare.com (the "Site"), operated by Venaflare LLC ("Venaflare," "we," "us," or "our"). Please read these Terms before using the Site. By using the Site, you agree to these Terms. If you do not agree, please discontinue use.
These Terms concern the public website. Paid services, client systems, deliverables, fees, and other engagement obligations are governed by a separate written agreement with the client. These Terms do not amend that agreement or replace any confidentiality or data processing agreement.
Our Privacy Policy explains how we handle personal information. It is a privacy notice, and referring to it here does not constitute consent to processing that requires separate consent.
2. Permitted Use
You may browse the Site and download or print reasonable portions of its public content for personal or internal business reference, provided you retain applicable ownership notices.
You must not:
- Use the Site for unlawful or fraudulent purposes.
- Attempt unauthorized access to the Site, accounts, infrastructure, or connected systems.
- Introduce malicious code, interfere with security, or impose an unreasonable load on the Site.
- Impersonate another person or submit information you have no right to disclose.
- Reproduce, resell, redistribute, or commercially exploit Site content beyond the permissions in these Terms, an applicable license, or applicable law.
Automated access must respect our published robots.txt directives, access restrictions, and reasonable rate limits, and must not circumvent technical controls. We permit automated access to public pages allowed by those directives for search indexing, retrieving content for AI-generated answers, and training AI models. To the extent we hold the necessary rights, this permission includes copying and processing content for those purposes and presenting links or brief excerpts in search results or answers. It does not permit unrestricted republication of the Site, imply our endorsement, or grant rights in third-party materials beyond those we are authorized to grant. Other automated extraction requires our written permission unless permitted by applicable law.
3. Intellectual Property
The Site's original text, designs, graphics, branding, and software are owned by or licensed to Venaflare. Except as expressly permitted, these Terms do not transfer ownership or grant a license to our intellectual property.
Third-party names, marks, and materials remain the property of their respective owners. References to them do not imply affiliation or endorsement. Materials made available under a separate license remain subject to that license. Nothing in these Terms restricts uses permitted by applicable law.
4. Inquiries and Booking Calls
Booking links take you to a third-party scheduling service. Its terms and privacy policy, available on that service, describe its use and handling of information.
Sending an inquiry or booking an introductory call does not itself create a paid engagement or oblige either party to proceed. The scope, timing, and cost of any work must be agreed separately in writing.
Please provide accurate contact details and share only information you are authorized to disclose. Do not send sensitive personal information or access credentials through introductory inquiries or booking forms. If confidentiality arrangements are needed before discussing a project, please arrange them with us first. Existing confidentiality obligations remain in effect.
5. Service Descriptions and Examples
The Site describes our capabilities and provides general information about possible engagements. It is not a binding offer to deliver a particular scope, price, timeline, or result.
Acme (including Acme Co.) and Northwind are used as fictional example companies in visuals and demonstrations throughout the Site. The associated people, communications, project details, figures, and outcomes are illustrative, not representations of actual clients or client results. Any expressly identified case study should be read with its own context and qualifications.
Results depend on the agreed scope, available data, integrations, human review, and other circumstances. An example or past result does not guarantee a future outcome. Commitments about an actual engagement belong in the applicable written agreement.
6. General Information and Third-Party Links
Site content is general information and is not legal, financial, tax, or other regulated professional advice. Obtain advice appropriate to your circumstances before relying on information that requires professional judgment.
The Site may link to websites and services operated by others. We do not control those websites or their content. Their terms and policies apply to your use of them. A link alone does not constitute an endorsement.
7. Site Availability and Warranties
We may update, suspend, or discontinue all or part of the Site. We do not guarantee that it will always be available or that every item of information will be accurate, complete, or current.
To the extent permitted by law, the Site is provided "as is" and "as available," without express or implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement. This section concerns the Site and does not alter warranties expressly agreed in a client contract.
8. Limitation of Liability
To the extent permitted by applicable law, Venaflare and its members, officers, employees, and agents will not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of or inability to use the Site, including resulting loss of profits, revenue, data, or goodwill.
Subject to the exceptions below, our total aggregate liability arising from or relating to the Site or these Terms will not exceed US $100.
These exclusions and limits do not apply to fraud, willful misconduct, gross negligence, or any liability that applicable law does not permit us to exclude or limit. Nothing in these Terms waives non-waivable statutory rights or remedies. Liability relating to a client engagement is governed by the applicable client agreement, not this website liability cap.
9. Responsibility for Misuse
If you use the Site on behalf of a business and have authority to bind it, that business agrees, to the extent permitted by law, to indemnify Venaflare against third-party claims and resulting damages, settlements, and reasonable legal costs to the extent caused by its unlawful use of the Site, infringement of another party's rights, or material breach of these Terms.
This obligation does not cover claims to the extent caused by Venaflare's breach, negligence, or other wrongful conduct. We will give prompt notice of a covered claim, allow the business to control its defense with suitable counsel, and provide reasonable cooperation at its expense. No settlement may admit fault on our behalf or impose non-monetary obligations on us without our written consent, which will not be unreasonably withheld.
10. Governing Law and Disputes
These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-law rules. Subject to any mandatory rights or jurisdiction rules that apply, disputes about these Terms or the Site will be brought in state or federal courts located in Massachusetts, and the parties consent to those courts' personal jurisdiction. A federal court must also have subject-matter jurisdiction over the dispute.
This provision does not override dispute-resolution arrangements in a separate client agreement for disputes covered by that agreement.
11. Changes to These Terms
We may revise these Terms and post the revised version with an updated “Last updated” date. Unless we specify a later date, changes take effect when posted. Changes apply prospectively and do not change the terms applicable to a dispute that arose before the change. For material changes, we will provide reasonable notice on the Site and obtain any additional acceptance required by applicable law. Continued use after notice and after the changes take effect constitutes acceptance only to the extent permitted by applicable law.
12. General Provisions
If a provision is held unenforceable, the remaining provisions remain in effect to the extent permitted by law. A failure to enforce a provision is not a waiver of the right to enforce it later.
These Terms are the agreement concerning public use of the Site. They do not supersede separate agreements governing client services, confidentiality, data processing, or separately licensed materials.
